1. Scope and Acceptance

1.1 Scope

1.1.1 These Terms and Conditions (the "Terms") regulate your use of our Services including:
(a) This website, including access to all links and functions;
(b) Payment facilitation and distribution services through payment providers or our online Shop, enabling buyers to access the Products offered by our third-party merchants ("Partners"), or payment channel partners ("Payment Channels").
(c) Other applications, websites, or services that link to these Terms.

1.1.2 Unless otherwise specified, these Terms are entered into between you and us.

1.2 Acceptance

By using any Service, you consent to and accept these Terms, agreeing to be bound by them. IF YOU DO NOT ACCEPT THESE TERMS, IMMEDIATELY CEASE USING OR ACCESSING THE SERVICES.

1.3 Amendments

We retain the right to amend these Terms, or any policies/notices related to our platforms/sites/applications, at any time. Amendments will take effect immediately upon publication on this website, our applications, or platforms. We will also post a notice on these platforms to inform users of the new Terms, with the last revision date noted at the top of the Terms. It is your responsibility to regularly check for the latest version. Continued use of the Services or platforms after any amendment constitutes your acceptance of the revised Terms.

2.4 Distribution of Partner Products

2.4.1 To access Partner Products, you may:
(i) Initiate via a Partner’s site/platform, routed to our website for further processing;
(ii) Access via our online shop.

2.4.2 You must have a valid mobile account with a partner network or a payment instrument recognized by Payment Channels.
2.4.3 You are liable for all payment account use. We are not liable for unauthorized access to your accounts/instruments.
2.4.4 We, Partners, or Payment Channels may reject transactions or set limits at our discretion.

2.5 Partner Products

We are authorized to distribute the Partner Products. However, Partners (not us) are solely responsible for delivering the distributed Products.

2.6 Modification of Services

We may change, suspend, or discontinue the Services (in whole or part) at any time, with or without notice. Changes will be reflected in these Terms per the Amendments section.

2.7 Taxes and Charges

You are responsible for all taxes, duties, exchange fees, data charges, and related costs from using our Services and accessing the Partner Products.

2.8 Dispute Handling

For dissatisfaction with Partner Products or alleged billing errors:
(a) Contact us for purchases made on our online Shop;
(b) Contact the Partner for other transactions.
If unable to resolve with the Partner, file a dispute with us. Do not make false statements during dispute proceedings. We will investigate and attempt to resolve disputes at our discretion.

2.9 Error Handling

If we determine an overcharge, we will credit your account or issue a refund. If an undercharge is found, we may debit your account to rectify the error.

3. Consumer Protection

3.1 Product Descriptions

We strive to ensure accurate product descriptions on the online Shop, but do not warrant completeness or accuracy to the extent permitted by law.

3.2 Refunds

Transactions via our Services are final. No returns or refunds will be issued unless specified in these Terms. Refund timelines (if applicable) depend on the Payment Channel or your financial institution.

4. User Accounts

4.1 Account Services

Registering for a User Account allows you to:
(a) Access reward schemes/promotions on the online Shop;
(b) Track purchase history;
(c) Use features exclusive to registered users.

4.2 Account Verification

You confirm providing complete, accurate information for verification and agree to maintain account/password confidentiality. Notify us immediately of unauthorized access.

4.3 Transaction History

View successful/failed transactions on your User Account page. Report errors/missing information to us for resolution.

4.4 Account Closure/Suspension for Breach

We may permanently close or suspend your User Account at our discretion if:
(a) You engage in prohibited conduct under these Terms;
(b) You breach these Terms and fail to remedy it within 30 days of written notice;
(c) Required by regulatory/legal authorities;
(d) You become subject to bankruptcy proceedings;
(e) You provide false information and fail to correct it within 15 days of notice;
(f) Account security is compromised and you fail to take corrective action within 5 days;
(g) You fail to comply with these Terms or additional service terms.

4.5 Voluntary Account Closure

You may close your User Account by providing 30 days’ written notice. All prior transactions must be paid, and we may deduct outstanding fees from your balance.

5. User Content

5.1 Responsibility for Content

You are responsible for all User Content (public or private) transmitted while using our Services. We do not monitor User Content but may remove it at our discretion or upon request if it violates these Terms.

5.2 No Misrepresentation

Do not misrepresent your identity, impersonate others, or mislead others about User Content origins.

5.3 Content Restrictions

Do not transmit User Content that:
(a) Harasses, bullies, or threatens others;
(b) Discriminates or promotes hate/violence based on ethnicity, race, gender, religion, disability, etc.;
(c) Is defamatory or libelous;
(d) Is offensive, obscene, or sexually explicit;
(e) Violates user conduct prohibitions in Section 6;
(f) Infringes intellectual property rights;
(g) Invades privacy;
(h) Is illegal or violates these Terms.

5.4 Rights Warranties

You represent that you own the User Content or have rights to transmit it, and that it does not violate laws or these Terms.

5.5 Content Removal

We may remove User Content violating these Terms, without prejudice to our right to suspend/close your account.

6. User Obligations

6.1 Purchase Confirmations

You confirm:
(i) Purchasing Partner Products for personal use only;
(ii) Not reproducing, distributing, or exploiting content/goods/services received;
(iii) Complying with all applicable laws in purchasing/using Partner Products.

6.2 Prohibited Conduct

Do not use the Services to:

6.2.1 Fraud & Unlawful Acts

(a) Violate laws or engage in unlawful purposes;
(b) Breach anti-money laundering/terrorism laws;
(c) Impersonate others or misrepresent affiliations;
(d) Disguise origin to bypass geographical restrictions;
(e) Remove proprietary notices;
(f) Charge others for using the Services;
(g) Use commercially or for third-party benefit;
(h) Engage in fraud.

6.2.2 Abuse & Interference

(a) Interfere with other users’ use;
(b) Disrupt Services, servers, or networks;
(c) Disrupt real-time dialogue;
(d) Upload viruses, malware, or destructive code;
(e) Send unsolicited advertising/spam;
(f) Post unlawful, harmful, or offensive content.

6.2.3 Damage to Business/Services

(a) Harm our business, reputation, or service capacity;
(b) Decompile, reverse-engineer, or hack the Services;
(c) Access accounts/networks without authorization;
(d) Impair Services or connected systems.

6.2.4 Additional Prohibitions

This list is non-exhaustive; analogous unlawful, fraudulent, or abusive acts are also prohibited.

7. Intellectual Property

7.1 Ownership

We own or hold licenses to all intellectual property in website content, including text, graphics, logos, software, and source code ("Subject Matters").

7.2 Third-Party Content

Third-party content on our website is owned or licensed by us under relevant laws.

7.3 Restrictions

Without our express written permission, you may not:
(a) Adapt, reproduce, modify, distribute, or create derivatives of Subject Matters;
(b) Commercialize information, goods, or services from Subject Matters.

8. Personal Data & Confidentiality

8.1 Privacy Policy

We may collect/process your personal data per our Privacy Policy, which governs such activities.

8.2 Data Obligations

Do not:
(a) Harvest other users’ personal information;
(b) Collect/storage personal data for prohibited purposes;
(c) Disclose others’ confidential/personal information.

8.3 Confidential Information

Do not upload content you lack rights to share (e.g., inside information, proprietary data under NDAs).

9. Indemnification & Liability

9.1 Indemnification

You agree to indemnify and hold us, our affiliates, and their representatives harmless from all claims, losses, liabilities, and costs (including legal fees) arising from your use of our Services or breach of these Terms.

9.2 Liability Limitation

9.2.1 To the extent permitted by law, we shall not be liable for indirect, incidental, punitive, or consequential damages from using the Services (including inability to use them) or purchasing Partner Products.
9.2.2 Our aggregate liability under these Terms, in contract, tort, or otherwise, shall not exceed the payment amount related to the claim.
9.2.3 We are not liable for delays/failures due to events beyond our control. Some jurisdictions may not allow these limitations, so your rights may vary.
9.2.4 Any claim under these Terms must be filed within 1 year of accrual; otherwise, it is barred.

10. Warranty Disclaimer

10.1 "As Is" Provision

Services are provided "as is," without warranty of uninterrupted, error-free, or secure operation, or freedom from viruses.

10.2 Warranty Exclusion

To the fullest extent allowed by law, we disclaim all warranties, including merchantability, fitness for purpose, and non-infringement.

10.3 Partner Responsibility

We do not control Partner goods/services. Except as specified, we do not guarantee refunds for unmet expectations, though we will assist with disputes as described. We cannot guarantee dispute resolution to your satisfaction.

10.4 Suspension/Termination

We may suspend/terminate your access to our Services at our discretion, without notice, for suspected fraud, illegal conduct, or breach of these Terms. We may also limit transaction types/amounts.

10.5 Dependence on Providers

Service availability depends on our providers, Payment Channels, Partners, and affiliates.

10.6 Disruptions

We are not liable for delays, interruptions, or disruptions to Services/website.

11. General Provisions

11.1 Third-Party Links

Third-party links are not under our control. You access them at your own risk, and we do not endorse their content/practices.

11.2 Notices

Notices may be provided electronically (via website, email, or mobile). You consent to electronic communications, which satisfy legal writing requirements.

11.3 Waiver

Our failure to enforce rights does not waive our ability to do so later.

11.4 No Endorsement

References to third parties on our website do not imply endorsement.

11.5 Termination

We may terminate your access for breach of these Terms. The Indemnification & Liability section survives termination.

11.6 Security

We take reasonable steps to secure your information, but internet transmission cannot be guaranteed secure. You transmit data at your own risk.

11.8 Assignment

You may not assign rights/obligations under these Terms without our consent. We may assign these Terms to affiliates/third parties at our discretion.

11.9 Entire Agreement

These Terms supersede all prior agreements. Amendments must be in writing and published as binding versions.

11.10 Separability

Invalid provisions will be modified to the minimum extent necessary, with others remaining in effect.

11.11 Governing Law

11.11.1 These Terms are governed by the laws of Hong Kong, China, excluding conflict of laws rules.
11.11.2 Disputes shall be arbitrated by the Hong Kong International Arbitration Centre under its rules, with seat in Hong Kong, one arbitrator, and proceedings in English. The arbitrator’s decision is final.

12. User Declarations

12.1 Age Confirmation

Services are not directed at minors. Minors must use Services with parent/guardian consent, who are responsible for minor’s use/purchases. Purchases cannot be cancelled for lack of supervision.

12.2 Lawful Use

Use Services only for lawful purposes, complying with these Terms and applicable laws.

12.3 Device Authorization

Warrant that you own or are authorized to use the device accessing Services.

12.4 Payment Liability

You are solely liable for payment instrument use. We are not liable for unauthorized transactions.
